These Terms of Service (“Terms”) govern your access to and use of the Way2Talent Inc. website and recruitment services. By accessing our website, submitting your information, or engaging our recruitment services, you agree to these Terms. Please read them carefully.
1. Services
Way2Talent Inc. (“Way2Talent,” “we,” “our,” or “us”) provides recruitment and talent acquisition services to employers (“Clients”) by identifying, evaluating, and introducing qualified candidates (“Candidates”) for employment opportunities.
Our recruitment services may cover a range of industries and professional sectors, including construction, engineering, manufacturing, finance and accounting, human resources, supply chain, operations, maintenance, skilled trades, technology, and other professional or executive-level positions.
The specific scope of services, recruitment terms, fee structure, and applicable guarantees may be agreed upon separately in writing between Way2Talent and the Client.
2. Employer / Client Terms
2.1 Recruitment Fee Structure
Unless otherwise agreed in writing, Way2Talent provides recruitment services on a contingency basis. No placement fee is payable unless and until a Candidate introduced by Way2Talent commences employment with the Client or an applicable hiring entity covered by the parties’ written agreement.
The applicable recruitment fee, fee percentage, payment terms, and any other charges must be confirmed in writing before or at the commencement of the recruitment engagement.
If a Candidate introduced by Way2Talent is hired by the Client, its affiliated entity, or another hiring entity covered by the applicable written agreement, the agreed recruitment fee will apply.
2.2 Candidate Ownership and Introductions
A Candidate introduction includes the submission of a Candidate’s resume, profile, contact information, or other identifying professional information to the Client.
If a Client hires a Candidate introduced by Way2Talent, the applicable placement fee will be payable in accordance with the parties’ written agreement, even if the Candidate is subsequently hired through another communication channel or recruitment process.
If the Client believes that a Candidate was already known to or independently under active consideration by the Client before Way2Talent’s introduction, the Client should notify Way2Talent in writing within five (5) business days of receiving the Candidate’s information and provide reasonable supporting documentation. The applicable written agreement will determine how such circumstances are handled.
2.3 Placement Guarantee
Where expressly included in the applicable written agreement, a successful placement may be covered by a replacement guarantee of sixty (60) to ninety (90) days, as specified in that agreement.
If a placed Candidate voluntarily leaves employment or is terminated for a reason covered by the agreed guarantee during the applicable guarantee period, Way2Talent will conduct a replacement search for the same position at no additional recruitment fee, subject to the conditions of the written agreement.
Unless otherwise agreed in writing, the replacement guarantee:
- Applies only to the original position and placement.
- Requires the Client to notify Way2Talent in writing within the timeframe specified in the applicable agreement.
- May require the Client to have paid all invoices due under the agreement.
- Does not automatically entitle the Client to a cash refund.
- May be void if the Client materially changes the Candidate’s job responsibilities, compensation, reporting structure, location, or working conditions after placement.
- May be subject to additional exclusions or conditions specified in the applicable written agreement.
The applicable recruitment agreement will control if its guarantee terms differ from this section.
2.4 Non-Exclusivity
Unless otherwise agreed in writing, Way2Talent provides recruitment services on a non-exclusive basis. Clients may work with other recruitment firms or recruit Candidates independently.
However, if a Client hires a Candidate introduced by Way2Talent, the applicable recruitment fee remains payable in accordance with the written agreement, subject to any agreed candidate ownership provisions or exclusions.
2.5 Client Obligations
Clients agree to:
- Provide accurate and complete job descriptions, qualifications, responsibilities, compensation details, employment conditions, and hiring timelines.
- Communicate material changes to the position or hiring requirements promptly.
- Review submitted Candidate profiles and provide reasonable, timely feedback, preferably within five (5) business days.
- Notify Way2Talent promptly when an offer is extended to, accepted by, or followed by the hiring of an introduced Candidate.
- Provide accurate information regarding the Candidate’s start date and employment status when reasonably required to administer the recruitment agreement.
- Maintain confidentiality regarding Candidate information and use it only for legitimate recruitment and employment-related purposes.
- Obtain appropriate consent and comply with applicable employment, privacy, anti-discrimination, and data protection laws when processing Candidate information.
- Pay recruitment fees and other agreed charges in accordance with the applicable written agreement.
Clients must not use Candidate information for purposes unrelated to the recruitment engagement or circumvent agreed recruitment fee obligations.
3. Candidate Terms
3.1 Accuracy of Information
By submitting a resume, CV, application, or professional profile to Way2Talent, you confirm that the information provided is accurate and complete to the best of your knowledge.
You agree to notify Way2Talent of material changes to your qualifications, employment history, contact information, or availability where relevant to an active recruitment process.
3.2 Consent to Recruitment Activities
By submitting your information or communicating with Way2Talent about employment opportunities, you authorize Way2Talent to use the information you provide to evaluate your suitability for relevant positions and, where appropriate, share your professional profile with prospective employers for recruitment purposes.
Way2Talent may contact you regarding relevant opportunities, interview scheduling, application progress, and related recruitment matters, subject to applicable law and your communication preferences.
You may request that your information not be considered for future opportunities or request deletion of your information, subject to applicable legal, contractual, and legitimate record-retention requirements.
3.3 No Guarantee of Employment
Way2Talent makes reasonable efforts to identify suitable opportunities and facilitate communication between Candidates and Clients. However, we do not guarantee interviews, job offers, employment, or any particular recruitment outcome.
Hiring decisions remain with the relevant employer, and Candidates are responsible for evaluating employment offers and deciding whether to accept them.
3.4 No Candidate Fees
Way2Talent does not charge Candidates recruitment or placement fees for standard recruitment services. Candidates should not pay a recruitment fee to Way2Talent in exchange for being considered for employment opportunities.
Any separate service, if offered in the future, would be subject to its own clearly disclosed terms and applicable law.

This provision applies only to the extent that the relevant claim or loss results from the indemnifying party’s acts, omissions, or breach. It does not impose liability where prohibited by applicable law.
10. Governing Law and Disputes
These Terms and any dispute arising from them will be governed by the laws of the jurisdiction specified in the applicable written recruitment agreement or, where no such agreement addresses governing law, the jurisdiction identified in the final version of these Terms.
